General License Agreement
Image(s): All visual representations furnished to Client (You) by Mark A. Erickson, d.b.a. “JirehDesign.com” (Owner).
Rights: The copyrights to the Image(s) remain the exclusive property of Mark A. Erickson, d.b.a. “JirehDesign.com” (Owner). No rights to the Licensed Use listed above are transferred to Client until JirehDesign.com has received the License Fee in full. Client and its principals, employees, agents, and affiliates are jointly and severally liable for paying the License Fee to JirehDesign.com and for other obligations of this License. The only rights for use of the Image(s) granted to the Client are those specifically set forth in this License. All other rights are reserved by JirehDesign.com.
THIS IS A LEGAL AGREEMENT between you (Client) and Mark Allen Erickson, d.b.a. JirehDesign.com (the Copyright Owner). By accepting delivery of the listed Image(s) or animation(s), Client agrees to be bound by this agreement. If Client does not agree with these license terms, Client shall send the image/animation file(s) back to the return address, delete all copies of the image(s) or animation(s) and Client’s order will be cancelled.
Metadata: The Image(s) may contain copyright management information embedded in their file. Removing and/or altering this information is prohibited and violates copyright law.
Grant Of License
JirehDesign.com grants client the non-exclusive, non-transferable, non-sublicensable, revocable license to use and modify the listed Image(s) subject to the restrictions contained herein. Client may not re-sell, re-license, rent, assign, transfer, sub-license or grant any rights to the Image(s), in whole or in part, or any compilation, derivative or collective work containing such Image(s) to any other person or entity, whether voluntary or by operation of law, without the prior written consent of JirehDesign.com.
This license agreement DOES PERMIT the following uses of the Image(s): Client may use the Image(s) according to the specific terms listed at the top of this agreement. This license agreement DOES NOT PERMIT the following uses of the Image(s): Client may not post any Image(s) from JirehDesign.com on any electronic bulletin board, put the Image(s) on-line in a downloadable high-resolution format, or use the Image(s) in a website at a resolution higher than 72dpi.
Using Image(s) from JirehDesign.com in a way not covered or specifically prohibited by this agreement, without prior written consent from JirehDesign.com, is a violation of Federal copyright law. This license is in force until it is terminated. If Client does not comply with the terms and conditions above, this license automatically terminates.
Ownership, Authority. You agree that you will not challenge any aspect of Copyright Owner’s rights in the images. The images are protected by copyright and other intellectual property laws and by international treaties. You shall not remove, alter, or destroy any copyright mark or proprietary markings placed on the image.
Copyright
All Image(s) are owned by JirehDesign.com or its licensors and are protected by the United States Copyright laws, international treaty provisions and other applicable laws. No title to or intellectual property rights to any JirehDesign.com Image(s) is transferred to Client. JirehDesign.com retains all rights not expressly granted by this license agreement.
Warrants and Liability
JirehDesign.com represent and warrants that Mark Allen Erickson is the copyright owner of the Image(s) and that JirehDesign.com has not granted any rights in the Image(s) that would permit a third party to raise a claim against the Client for the Licensed Use. JirehDesign.com’s liability for all claims by Client shall not exceed the License Fee. JirehDesign.com shall not be liable for any general, special, direct, indirect, consequential, incidental, or other damages arising out of Client’s use of the Image(s). JirehDesign.com warrants the Image(s) to be free from defects in material and workmanship for 30 days from delivery. Client’s sole and exclusive remedy for a breach of this warranty is the replacement of the Image(s) or a refund of the purchase price, at the option of JirehDesign.com. JirehDesign.com makes no other warranty, either expressed or implied, of merchantability, technical, medical or anatomical accuracy, fitness for any particular use or compatibility with any computer or other kind of equipment.
Indemnification: Client will indemnify, hold harmless, and defend Mark Allen Erickson and JirehDesign.com, its trustees, agents and employees, against all claims, liability, damages, costs, and expenses, including reasonable legal fees and expenses, arising from any use of the Image(s) by Client.
Disputes: Any dispute regarding this License shall, in JirehDesign.com’s sole discretion, either: (1) be arbitrated in the state of Florida, under rules of the American Arbitration Association and the laws of Florida; or (2) be adjudicated in Florida under the laws of the United States and/or of Florida. Judgment on any arbitration award may be entered in any court having jurisdiction.
Governing Law And General Provisions
This Agreement will be governed by the laws in force in the State of Florida. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. Client agrees that the Image(s) files will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.
Waiver: No amendment or waiver of any terms of this License is binding unless set forth in writing and signed by Mark Allen Erickson.
This Agreement shall automatically terminate upon failure by Client to comply with its terms.
